1. Introduction & Scope

These Terms govern the purchase, use, and distribution of all products sold by Mitronex Limited (“Mitronex,” “we,” “us”). By placing an order or completing a purchase, you (“Buyer,” “you”) agree to these Terms.

2. Nature of Products – Imitation & Parody

All mugs and drinkware sold by Mitronex are imitation and parody items. Designs are original artistic expressions intended to humorously reference or satirize well-known characters. Mitronex is not affiliated with any film studio, comic publisher, or trademark holder. Products are deliberately distinguishable from official merchandise. We operate in good-faith belief that our products fall within protected parody and fair use under applicable laws.

3. Buyer’s Acknowledgment

By purchasing, you acknowledge that these products are not official, not licensed, and are sold as humorous collectibles. You agree not to misrepresent, repackage, or market any Mitronex product as official merchandise. If you resell, you must clearly disclose the parody nature of the items.

4. Intellectual Property – Our Position

Mitronex does not claim ownership of third-party trademarks. Our original illustrations deviate from protected elements (altered colors, modified details, humorous touches). We rely on established principles of transformative use, minimal borrowing, and no market substitution. If a rights holder has a good-faith objection, they may contact us at legal@mitronex.com, and we will evaluate the claim promptly.

5. No Warranties

All products are sold “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, Mitronex disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement (except as stated in Section 4 as a good-faith belief). We do not warrant that any product will be deemed legal parody in your jurisdiction.

6. Limitation of Liability

To the fullest extent permitted by law, Mitronex’s total liability shall not exceed the amount you paid for the specific product (maximum USD $25). Mitronex is not liable for indirect, incidental, or consequential damages, including legal fees or third-party IP claims arising from your use of the product.

7. Indemnification

You agree to indemnify and hold harmless Mitronex from any claims arising out of: (a) your modification or misrepresentation of our products as official merchandise, (b) your resale without proper parody labeling, or (c) any third-party IP claim resulting from your commercial use beyond our intended purpose.

8. Fair Use & Parody Statement

Mitronex operates in reliance on fair use and equivalent exceptions. Our products are transformative, use minimal protected elements, and do not compete with official merchandise. This statement is for informational purposes and does not constitute legal advice.

9. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of Hong Kong. Any dispute shall first be submitted to good-faith negotiation for 30 days. If unresolved, the dispute shall be resolved by binding arbitration in Hong Kong administered by the Hong Kong International Arbitration Centre (HKIAC). Class actions are not permitted.

10. Entire Agreement & Amendments

These Terms constitute the entire agreement between Mitronex and the Buyer. Mitronex may update these Terms by posting the revised version on our website. Continued purchase after changes constitutes acceptance.

12. Returns for Defective Products

If a mug arrives physically damaged or has a manufacturing defect, Mitronex offers a replacement or refund within 30 days of delivery, subject to photographic evidence. This does not apply to legal objections or subjective dissatisfaction with the design.
